Terms and Conditions

These Terms and Conditions (“Terms”) are the contract between you and us for membership to Tasty Talks Bite Size.  In these Terms, “we”, “us” and “our” refers to Tasty Talks Bite Size, a trading name of Futurun Limited, whose registered address is at 190c Wendover Road, Weston Turville BUCKS HP22 5TG (registered in England & Wales with company number 7011603).  Membership of Tasty Talks Bite Size is conditional upon the acceptance of these Terms as amended in accordance with section 15.  Words in the singular shall include the plural and vice versa and any reference to ‘section’ shall mean to a section of these Terms.

1. HOW WE WORK

1.1.        The Workshops and Coaching Sessions are run by a trainer who is known as the ‘Leader’.  The Leader will be responsible for running the Workshops and Coaching Sessions (see sections 6 and 7 respectively) for members in a particular area (“Group”).  When you apply for membership, you choose which Group you want to join.  You may join more than one Group, but you will be liable to pay the annual subscription fees for each Group you join together with the associated workshop fees (see section 4).

2. WHO MAY APPLY FOR MEMBERSHIP

2.1.        Membership is open to any female, whether a business owner or not, who is keen to improve their business skills through regular training and who is committed to attending the training on a regular basis.

3. BENEFITS OF MEMBERSHIP

3.1.        Each annual subscription shall entitle you to:

3.1.1.       join one Group;

3.1.2.       access (subject to these Terms) on the presentation of a valid Carnet Ticket, to a maximum of 11 training workshop topics offered by the Leader of your Group as notified to you when you apply for your membership or as notified to you prior to the renewal of your membership (“Workshops”);

3.1.3.            a guaranteed place at each of the Workshops (see section 6);

3.1.4.            a 1-hour coaching session by your Group Leader (see section 7);

3.1.5.            access to our member website (www.TastyTalksBiteSize.com)(see section 9);

3.1.6.            two FREE Guest Carnets (see section 10);

3.1.7.       a materials organiser, which contains all contact information, annual topic listings and room to hold the materials provided at the Workshops;

3.1.8.       priority invitations to events;

3.1.9.       discounted entry to certain events; and

3.1.10.    lifetime price guarantee (see section 5).

4. MEMBERSHIP FEES AND CARNET TICKETS

4.1.        The “Membership Fees” comprise the “Annual Subscription Fees” and the fees for nine (9) “Carnet Tickets” and are set out in our Membership Application Form and on our website.

4.2.        All Annual Subscription Fees shall be payable on application or on renewal together with the fee for the nine (9) Carnet Tickets if you are going to buy the latter in one go.

4.3.        If you cannot buy the nine (9) Carnet Tickets in one go, you may buy them in three lots of three (3) Carnet Tickets (each a “Lot(s)”) in accordance with these Terms and using the same payment methods as set out in the Membership Application Form.  You will notice that there is a slight increase in the cost of each Carnet Ticket if you choose not to buy all nine together. If you choose to buy the Carnet Tickets in three Lots, the first Lot is payable in cleared funds prior to the first next listed Workshop for your Group following acceptance of your membership or your renewal.  You must pay for the second Lot in cleared funds no later than 30 days following payment for the first Lot or prior to the second of the Workshops listed for your Group (whichever is the sooner) following acceptance of your membership or your renewal.  Finally you must pay for the third Lot in cleared funds no later than 30 days following the due date for payment of the second Lot or prior to the third of the Workshops listed for your Group (whichever is the sooner) following acceptance of your membership or your renewal.

4.4.        Once you have purchased your nine Carnet Tickets, you will be entitled to receive two (2) FREE Guest Carnet Tickets which can be used in accordance with sub-sections 10.2.2 to 10.2.4 (inclusive).

4.5.        Proforma invoices will be sent out for membership renewals no later than 30 days prior to the expiry of your annual membership giving you the opportunity to choose how you wish to purchase your nine compulsory Carnet Tickets for the following membership year.  If you wish to take advantage of the Lifetime Price Guarantee (see section 5) you need to make sure that your appropriate membership renewal fees have been received in cleared funds prior to the expiry of your then current membership.

4.6.        Your application for membership will not be considered or your renewal processed until full payment has been received in cleared funds.

4.7.        Seven out of the nine Carnet Tickets purchased by you are for your sole use.  The remaining two Carnet Tickets may either be used by you or otherwise given away in accordance with these Terms (see section 10).

4.8.        Subject to our prior consent, in extenuating circumstances (for example if you move out of the area or change jobs) we may permit you to give some or all of your remaining sole Carnet Tickets away.

4.9.        Under no circumstances are you entitled to a refund from us for any Carnet Tickets or Guest Carnet Tickets you either give away or do not use.

5. LIFETIME PRICE GUARANTEE

5.1.        When you take out a new membership, we guarantee that the price you pay will stay the same each year you renew your membership provided that you renew (and the appropriate fees have been received in cleared funds) prior to the expiry of your then current membership.  (Any break in continuous membership, however small, will disqualify you from the lifetime price guarantee).  So potentially, every year you are a member the value of your membership just gets better and better.

6. WORKSHOPS

6.1.        Subject to these Terms, there will be 11 monthly Workshops offered per calendar year.

6.2.        Each Carnet Ticket entitles you to attend one Workshop.  We reserve the right to refuse you, your Sub or your Guest(s) entry to the Workshops in the event that a valid Carnet Ticket cannot be produced on entry.

6.3.        We understand that you will not always be able to make the Workshops due to holiday or illness.  This is why you are only required to purchase nine Carnet Tickets.  Given the likelihood of low numbers due to people taking holidays in August, we don’t hold Workshops in the month of August.

7. COACHING SESSIONS

7.1.        Subject to these Terms, your annual membership entitles you to one 1-hour Coaching Session by the Leader of your Group (“Coaching Session”), which you may only book once you have attended a minimum of three (3) Workshops.  We require you to attend this minimum number of Workshops in order that both you and your Leader have the opportunity to identify the key areas for improvement enabling you to maximise the benefit of your Coaching Session.

7.2.        Prior to your Coaching Session, you will be required to complete a Coaching Menu Form in which you are invited to put forward suggestions for areas to be covered in the Coaching Session.  Your Group Leader will also fill out one of these forms with her suggestions for topics to be covered.  You will then have the opportunity to discuss with your Group Leader all the suggestions put forward by both of you and to agree a final agenda.  In the event that agreement cannot be reached on all agenda items, the Leader shall make the final decision as to what shall be included.

7.3.        The Group Leader will hold Coaching Session days at set times during the year and you will be able to book your Coaching Session on a first come, first served basis.  In the event that you are unable to attend one of these Coaching Session days, your Group Leader may, at her sole discretion, agree to hold your Coaching Session on a different date, but she is not required to do so. If an alternative date is agreed, you will be required to pay any additional charges (if any) as applicable.  These would be agreed with you prior to the Coaching Session being booked.

7.4.        Save where the Group Leader has had to cancel the Coaching Session (see below), Coaching Sessions, if unused, cannot be carried over on renewal or take place after the termination or cessation of membership.

7.5.        If for any reason the Group Leader has to cancel the Coaching Session, it will be rescheduled.  In such circumstances rescheduled Coaching Sessions may take place after renewal, termination or cessation of the membership.

7.6.        Coaching sessions are not transferrable.

7.7.        It may not be possible for all agenda items to be covered in the 1 hour allocated.  You may always approach your Group Leader to arrange additional coaching which will be charged at the applicable hourly rate.

8. CHANGES TO OR CANCELLATION OF WORKSHOPS AND/OR COACHING SESSIONS

8.1.        It may be necessary for us to change any of the following: the date of a Workshop or Coaching Session, your Group Leader, scheduled trainers or speakers, programmes or course content, or the venue.  Similarly, it may be necessary to cancel a Workshop or Coaching Session.  Whilst we will use our reasonable endeavours to notify you in advance of any such changes or cancellation, this may not always be possible.  We do therefore reserve the right to change or cancel Workshops or Coaching Sessions without prior notice.

8.2.        Unless otherwise specified in these Terms, under no circumstances will you be entitled to a refund from us by virtue of the fact that we either change and/or cancel a Workshop or Coaching Session.

9. MEMBER WEBSITE

9.1.        As part of your annual membership you will be entitled to access the members’ only section of the Tasty Talks Bite Size website (the “Members’ Network”), the benefits of which are as follows:-

9.1.1.       You will be able to print out printer friendly versions of Workshop topic materials (for example recipe templates and handouts) providing more in-depth background and data than covered in the Workshops themselves.

9.1.2.       On-line viewing of videos on each workshop topic covering the information provided during the leader in-put section of the Workshop.

9.2.        You will be issued with a password to access the Members’ Network for the duration of your membership.  You must not disclose your password to anyone else and are responsible for keeping your password confidential.  If you become aware that the security of your password has become compromised, you must notify us immediately and you will be issued with a new password.

9.3.        You are only permitted to use the Members’ Network for the purposes specifically set out in section 9.1.  Without limitation, you may not use the Members’ Network for any unlawful purpose or use it in any manner which could or is likely to cause damage or otherwise impair the Members’ Network or any other person’s use or enjoyment of it.

10. GUEST CARNETS

10.1.    As set out in section 4.4, once you have purchased your nine Carnet Tickets, you will be entitled to receive two (2) FREE Guest Carnet Tickets (“Guest Carnets”) which you may either use yourself or use in accordance with section 10.2.

10.2.    If you do not want to use the Guest Carnets for yourself, you may (subject to the restriction set out in the next paragraph):

10.2.1.    in your absence permit a colleague (“Sub”) to substitute for you;

10.2.2.    bring a visitor (“Guest”) along (space permitting, see section 10.4);

10.2.3.    donate them as raffle prizes; or

10.2.4.    use them as loyalty gifts for customers and/or suppliers.

10.3.    A person may only act as a Sub or be a Guest at your Group on one occasion.  If they want to attend another Workshop with the same Group, they will need to apply for membership to that Group.

10.4.    Whilst, subject to these Terms, you and your Subs are guaranteed a place at each Workshop, for health and safety reasons, we cannot offer the same guarantee when it comes to Guests.  If you wish to bring a Guest, you must get the prior approval to do so from your Group Leader.  Failure to do so may mean that your Guest has to be turned away which would be disappointing for them and embarrassing for you and us.

10.5.    In any event, if you wish to either send a Sub or bring a Guest, you are required to notify your Group Leader that a Sub will be attending or a Guest would like to attend and give the Leader the name, position, business name, address, contact telephone number and email details of your Sub or Guest at least 48 hours prior to the Workshop.

10.6.    Your Guest Carnets will be linked to your membership.  In the event that one of your Guests subsequently joins as a member of Tasty Talks Bite Size, you will receive a small loyalty gift from us by way of a thank you from us to you.

10.7.    In addition to your nine Carnet Tickets a year, you are also permitted to purchase additional single Carnet Tickets either for your own use or for the uses set out in section 10.2.

11. PHOTOGRAPHY AND FILMING

11.1.    We may wish to take photographs (“Photographs”) or make films (“Films”) of any part of or all of the Workshops from time to time.  In consideration of the benefits you will receive as part of your membership of Tasty Talks Bite Size, you grant us permission to use any such Photographs or Films throughout the world for any of our commercial or non-commercial purposes in all and any media, including, without limitation, in our printed publications, presentations, promotional materials, in the advertising of our goods or services or on our website (“Specified Purposes”) in their original format or edited or altered in any way which we deem appropriate.

11.2.    You do not object to us storing copies of any Photographs or Films for the Specified Purposes or to us storing your contact details on our database in case we need to contact you.

12. USE OF TASTY TALKS BITE SIZE MATERIALS

12.1.      For the purposes of this section, “Rights” shall mean any copyright, extended or revived copyright, design right, registered design right and the right to apply for registered design right, database right or any similar right exercisable in any part of the world, including any application for registration of any registered design or similar registerable rights in any part of the world.

12.2.      Unless otherwise specified, all Rights in any materials supplied or otherwise made available to you by us in whatever format (for example, but not limited to, recipe templates, handouts, videos, web content, newsletter articles) (“Materials”) are owned by us or are licensed to us by a third party.  You may only use the Materials for your personal and non-commercial use.  You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, licence, create derivative works from, transfer or otherwise sell any information or services comprising the Materials without our prior permission.

13. TERMINATION

13.1.    In the event that you decide you want to terminate your membership you may do so at any time by notifying us in writing at our registered address.  There is no entitlement to any refund of your Membership Fees (Annual Subscription Fees or Carnet Ticket fees or otherwise) and to the extent that you have not paid for all nine of your Carnet Tickets for the year by the date of termination, this shall remain outstanding and shall be treated as a debt owed on termination.  We reserve the right to charge you interest on the overdue amount, payable by you on demand at 3 per cent per annum above the base rate for the time being of the Bank of England calculated on a daily basis (and compounded quarterly) from the due date until the date of actual payment of the overdue amount, whether before or after judgment.

13.2.    Notwithstanding section 13.3, in order to maintain a highly supportive atmosphere, we reserve the right to cancel membership, access to training or support and/or online services, with immediate effect, should you breach any of the sections of these Terms or we decide, at our absolute discretion, that the member is displaying disruptive, negative, or inappropriate behaviour or that they or their company is otherwise unsuitable for membership.  No refund of any fees will be made in such circumstances whatsoever.

13.3.    In addition to our right to terminate your membership in accordance with section 13.2, we may terminate your membership for any other reason at any time on the giving of 30 calendar days’ notice, in which case you will be entitled to receive a refund of the Annual Membership Fee on a pro-rated basis and to a refund of any unused Carnet Tickets returned to Head Office within 14 calendar days’ of termination.

13.4.    Termination of these Terms shall be without prejudice to all rights and remedies which either you or we may have against each other either under these Terms or at law and shall not affect any accrued rights or liabilities of either you or us nor the coming into or continuance in force of any section of these Terms which either expressly or by implication are intended to continue in force on or after such termination.

14. LIMITATION OF LIABILITY

14.1.    To the extent permitted by law, neither we, our Leaders or presenters shall be liable to you whether in contract, tort (including breach of statutory duty or negligence) or otherwise for any loss or special indirect or consequential loss of any nature whatsoever arising directly or indirectly from your membership of Tasty Talks Bite Size or occasioned to any person acting omitting to act or refraining from acting in reliance upon the content or presentation of the Materials or Workshops or any error or defect therein or out of the performance, non-performance or delayed performance by us of any of our obligations under these Terms.  Consequential loss shall be deemed to include, but is not limited to, any loss of profits or anticipated profits, damage to reputation or goodwill, loss of business or anticipated business, loss of revenues or anticipated savings, damages, costs, expenses incurred or payable to any third party or any other indirect or consequential losses.

15. CHANGES TO THESE TERMS

15.1.    It will be necessary for us to amend these Terms from time to time in line with changes we feel are necessary to best deliver the high quality training and support we give to our members.  We therefore reserve the right to vary these Terms at any time without notice, with the most up to date Terms always available on the Tasty Talks Bite Size website which can be found at: www.TastyTalksBiteSize.com.  You are therefore encouraged to check the website on a regular basis to keep abreast of any changes to these Terms.
